1. Agreement to these Terms

Ezley is an online marketplace operated by Tarheel Solutions, LLC (“Ezley,” “we,” “us,” or “our”). By creating an account on Ezley, accessing the platform, listing an item for sale, or initiating a purchase, you agree to these Terms of Service. If you do not agree, do not use Ezley.

These Terms are the binding contract between you and Tarheel Solutions, LLC. They incorporate by reference the Privacy Policy and the additional agreements (Seller Agreement, Buyer Terms, Escrow Disclosures) that apply when you list or buy on the marketplace; you will see and accept those agreements at the point in the flow where they become relevant.

2. What Ezley is — and what it is not

Ezley is a marketplace facilitator. We provide:

  • A platform where Sellers list items and Buyers purchase them.
  • Identity verification (basic / verified / trusted-seller tiers).
  • Payment processing and escrow services via Stripe Connect.
  • Optional concierge support for early-market Transactions.
  • Dispute mediation when Buyers and Sellers disagree.

Ezley is NOT:

  • A party to any Transaction between a Buyer and a Seller. The Buyer and Seller form a direct sales contract between themselves. Ezley facilitates that contract and holds the funds; Ezley does not sell the item.
  • The owner or inspector of any Listing. We do not warehouse, inspect, or warrant the condition of items listed by Sellers.
  • A financial institution, money transmitter, broker, or registered agent unless and until explicitly stated.
  • A dealer in any regulated goods category. Sellers offering vehicles, firearms, controlled substances, alcohol, or other regulated items remain subject to all applicable state and federal law independent of Ezley’s platform.

3. Eligibility

To use Ezley, you must:

  • Be at least 18 years old and capable of forming a binding contract.
  • Be a resident of the United States.
  • Provide accurate registration information (name, email, optional phone).
  • Not be barred from using Ezley under a prior account suspension or termination.
  • Not be on any US sanctions list or otherwise prohibited from receiving services under US law.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@ezley.com if you suspect unauthorized access.

You may have one Ezley account. Multiple accounts owned by the same individual may be merged or suspended at Ezley’s discretion.

You may close your account at any time via account settings. Closing an account does not relieve you of obligations arising from completed or in-flight Transactions, including chargeback liability for Sellers and dispute obligations for Buyers (see § 9).

5. Acceptable use

You agree NOT to:

  • List or offer items prohibited by law (controlled substances, stolen goods, counterfeit goods, items subject to active recall, items requiring a license you do not possess).
  • List or offer items in categories Ezley does not currently support — see the active categories on the marketplace at the time you list.
  • Misrepresent your identity, the condition of an item, or the terms of a sale.
  • Use Ezley to launder funds, evade taxes, or facilitate fraud.
  • Communicate with other users abusively, threateningly, or in a way that harasses, intimidates, or discriminates.
  • Scrape, copy, or otherwise systematically extract Listings or user data except through documented public APIs.
  • Attempt to bypass Ezley’s escrow by directing the Buyer to pay outside the platform (this is grounds for immediate account suspension).
  • Reverse-engineer, exploit, or disrupt the platform.

We may suspend or terminate any account that violates these rules, and we may withhold funds from suspended accounts pending resolution of any open Transactions or Disputes.

6. User content

You retain ownership of the content you submit to Ezley (Listings, photos, messages, descriptions, reviews). By submitting content, you grant Ezley a non-exclusive, worldwide, royalty-free license to host, display, distribute, and prepare derivative works of that content as needed to operate the platform.

You represent and warrant that:

  • You own or have all rights necessary to license the content you submit.
  • The content does not infringe any third party’s intellectual property, privacy, or other rights.
  • The content is accurate to the best of your knowledge.

We may remove content that we determine, in our sole discretion, to violate these Terms or any applicable law. We will notify you when we remove your content and explain why.

7. Transactions and Escrow

Every purchase on Ezley flows through Escrow via our Stripe Connect platform account. The Buyer’s funds are held by Ezley until the Transaction reaches one of these terminal states:

  • Released — funds transferred to the Seller after handover and the dispute window.
  • Refunded — funds returned to the Buyer (mutual cancellation, dispute decision, wire timeout).
  • Disputed → resolved by Ezley admin to one of: Released, Refunded, or Partial Refund.

Buyers and Sellers agree to abide by the dispute-resolution process in § 9 and the fee structure disclosed on the Pricing page.

8. Fees

Ezley charges a single bundled fee per Transaction, varying by payment path. As of this draft:

  • Card transactions: 5.5% of gross.
  • ACH transactions: 3.5% of gross.
  • Wire transactions: 3.0% of gross.

For mixed-rail Transactions (e.g., card deposit + wire balance), each capture event is priced at its own rail.

Fees are deducted from the Seller’s proceeds at the time of escrow release. Buyers do not pay Ezley directly; the Seller’s net payout is the gross less the bundled Ezley fee.

Listing on Ezley is free. Verification tier upgrades are free.

9. Disputes between users

If a Buyer and Seller disagree on the outcome of a Transaction, either party may open a Dispute by following the in-app dispute flow.

  • The Buyer must open a Dispute within the configured dispute window after handover.
  • Ezley will mediate. The Buyer and Seller agree to provide all reasonably-requested evidence (photos, messages, condition records, third-party inspection reports).
  • Ezley will resolve the Dispute to one of three outcomes: Release to Seller, Refund to Buyer, or Partial Refund (split). The resolution is final for purposes of escrow movement.
  • The Dispute resolution does not waive any rights either party may have outside the platform (e.g., to pursue a civil claim in court). It only governs how the escrowed funds are distributed.

10. Disputes between you and Ezley

Standard P2P-marketplace dispute-resolution patterns apply between you and Ezley, including a mandatory good-faith negotiation period before formal proceedings, choice of governing law, and specific venue. The full provisions will be finalized during attorney review and may include mandatory binding arbitration (with limited carve-outs for small-claims-court actions, IP enforcement, and injunctive relief) and a class-action waiver.

11. Suspension and termination

Ezley may suspend or terminate your account at any time if you violate these Terms, the Privacy Policy, or applicable law. We will provide written notice with the reason except where the violation is severe (fraud, illegal activity, repeated harassment) or notice is barred by legal process.

You may close your account at any time. Closing an account does not terminate obligations arising from in-flight Transactions or Disputes.

12. Disclaimers

Ezley provides the platform “as is” and “as available.” We do not warrant that the platform will be uninterrupted, error-free, or that any Listing accurately describes the item offered. We make no representations about the condition, legality, fitness for purpose, or value of any item listed.

13. Limitation of liability

To the maximum extent permitted by applicable law, Ezley’s liability arising from your use of the platform is limited to the lesser of (a) the fees Ezley collected from the specific Transaction at issue, or (b) one hundred US dollars ($100).

In no event will Ezley be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or business interruption, arising from your use of the platform — subject to applicable consumer-protection law.

14. Indemnification

You agree to indemnify and hold Ezley harmless from any claim or demand made by a third party arising from your use of the platform, your content, or your violation of these Terms. This includes reasonable attorney fees.

15. Modifications

We may update these Terms. Material changes will be announced at least 30 days before they take effect, by in-app notification and email. Your continued use of Ezley after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire agreement. These Terms (including incorporated documents) are the entire agreement between you and Ezley regarding the platform.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Ezley’s failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign your rights or obligations under these Terms. Ezley may assign these Terms to a successor entity (e.g., in a corporate sale).
  • Notices. Ezley will give you legal notices by email to the address on your account. You must give Ezley legal notices via legal@ezley.com.
  • Force majeure. Neither party is liable for delay or non-performance caused by events beyond reasonable control (natural disaster, war, internet outage, court-ordered shutdown).
